Terms of Service

These Terms of Service ("Terms") govern your use of Orbis, operated by Atlas01 ("we", "us"). By creating an account or using Orbis, you agree to these Terms.
1. Definitions
- "Platform" means the Orbis website, storefronts, and related services.
- "Vendor" means a user who creates a store to sell products through the Platform.
- "Customer" means a user who purchases products from a Vendor's store.
- "Agent" means a user enrolled in our referral program.
2. Accounts
You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account.
3. Vendor Terms
3.1 Independent sellers. Vendors are independent sellers, not employees or agents of Atlas01. Vendors are solely responsible for the accuracy of their product listings, the quality and legality of their products, order fulfillment, customer service, and compliance with all applicable tax, consumer protection, and business licensing laws.
3.2 Payments are not mediated by Atlas01. Orbis does not act as a payment intermediary between Vendors and Customers. Payments made via Paystack or Flutterwave are settled directly to the Vendor's own connected account. Payments made via bank transfer are sent directly to the Vendor's own bank account. Atlas01 is not a party to, and bears no liability for, the underlying sale transaction between a Vendor and a Customer.
3.3 Subscription fees. Access to a Vendor store requires an active subscription at the tier selected (Standard, Entrepreneur, or Business), billed monthly at the rates displayed at checkout. Subscriptions renew automatically. Failure to pay may result in a grace period followed by suspension of your store, as described at checkout and in your account dashboard.
3.4 Suspension and termination. We may suspend or terminate a Vendor's store for violation of these Terms, fraudulent activity, unresolved payment disputes, or at our reasonable discretion following review. Vendors flagged for review will be given an opportunity to respond through our support process before enforcement action is taken, except in cases of imminent harm or clear fraud.
4. Customer Terms
Customers purchase directly from Vendors. Refunds and cancellations are subject to each Vendor's own policies and the cancellation rules built into the Platform (e.g. unpaid orders may be self-cancelled; paid orders require Vendor action). Disputes about a specific order should first be raised with the Vendor via the in-Platform inquiry system.
5. Agent Referral Program
Agents may share a unique referral code. If a Vendor uses a valid code and completes their first subscription payment, the referring Agent earns a fixed commission, and the referred Vendor receives a one-time discount on that payment, as described in-app. Commission amounts and program terms may be changed or discontinued at our discretion with notice. Payouts are made periodically to the bank details provided by the Agent; Atlas01 is not responsible for delays caused by incorrect bank information.
6. Prohibited Conduct
You agree not to: use the Platform for unlawful purposes; list counterfeit, stolen, or prohibited goods; manipulate the referral program through fake accounts or transactions; attempt to circumvent fraud detection or account suspension; or interfere with the security or normal operation of the Platform.
7. Intellectual Property
Vendors retain ownership of their own product content and branding. Vendors grant Atlas01 a license to display that content on the Platform for the purpose of operating their store. Atlas01 retains all rights to the Platform's own software, templates, and branding.
8. Disclaimers and Limitation of Liability
The Platform is provided "as is." Atlas01 does not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, Atlas01's total liability arising from your use of the Platform is limited to the subscription fees you paid in the three months preceding the claim. Atlas01 is not liable for disputes, losses, or damages arising from transactions between Vendors and Customers.
9. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
